Terms of Service

1. Eligibility

You must be at least 16 years old (or the minimum legal age in your country) to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

2. User Accounts

You may need to register for an account to access certain features. You agree to provide accurate, complete, and updated information and to maintain the security of your account credentials. You are solely responsible for all activities under your account.

3. Subscriptions and Billing

The Service offers both free and paid subscription plans. Paid plans ("Pro") provide additional features. Prices, features, and availability may vary by country, platform, or app store and are subject to change without notice.

Payment Processing

Payments for subscriptions are processed through the platform where you downloaded the app, such as Apple App Store or Google Play Store, using Apple Pay, Google Pay, or other supported payment methods.

You agree to comply with the Apple Media Services Terms and Conditions or the Google Play Terms of Service, as applicable.

All billing, renewals, cancellations, and refunds are handled by the respective app store and are subject to their policies. Please contact Apple or Google directly for billing inquiries.

4. Auto-Renewal and Cancellation

Paid subscriptions will automatically renew unless you turn off auto-renewal at least 24 hours before the end of the current billing period. You can manage or cancel your subscription in your Apple ID Account Settings or Google Play Account Settings.

5. Acceptable Use

You agree not to:

• Use the Service for unlawful, harmful, fraudulent, or abusive purposes
• Violate the intellectual property or privacy rights of others
• Upload viruses, malware, or malicious code
• Interfere with or disrupt the Service, servers, or networks
• Reverse engineer or attempt to extract source code

We reserve the right to suspend or terminate accounts that violate these Terms.

6. Intellectual Property

All content, trademarks, and intellectual property on the Service are owned by TradingPlus Inc. or its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes under these Terms.

7. Apple App Store Additional Terms

The following terms apply to users who download the WorkHours app ("Licensed Application") from the Apple App Store. These terms are required by Apple and supplement the terms above.

7.1 Acknowledgement

You acknowledge that this End-User License Agreement ("EULA") is concluded between you and TradingPlus Inc. only, and not with Apple Inc. ("Apple"). TradingPlus Inc., not Apple, is solely responsible for the Licensed Application and its content. This EULA may not provide for usage rules that conflict with the Apple Media Services Terms and Conditions as of the date you accepted this EULA.

7.2 Scope of License

The license granted to you for the Licensed Application is limited to a non-transferable license to use the Licensed Application on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions. The Licensed Application may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.

7.3 Maintenance and Support

TradingPlus Inc. is solely responsible for providing any maintenance and support services with respect to the Licensed Application, as specified in this EULA or as required under applicable law. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.

7.4 Warranty

TradingPlus Inc. is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Licensed Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be TradingPlus Inc.'s sole responsibility.

7.5 Product Claims

You acknowledge that TradingPlus Inc., not Apple, is responsible for addressing any claims by you or any third party relating to the Licensed Application or your possession and/or use of the Licensed Application, including, but not limited to: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

7.6 Intellectual Property Rights

You acknowledge that, in the event of any third-party claim that the Licensed Application or your possession and use of the Licensed Application infringes that third party's intellectual property rights, TradingPlus Inc., not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

7.7 Legal Compliance

You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

7.8 Third-Party Terms of Agreement

You must comply with applicable third-party terms of agreement when using the Licensed Application. For example, if you use the app over a cellular data connection, you must not be in violation of your wireless data service agreement.

7.9 Third-Party Beneficiary

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.

8. Google Play Store Terms

Apple and Google are not sponsors, nor are they involved in any way, with contests, sweepstakes, or other promotions offered through the Service.

You acknowledge that these Terms are between you and TradingPlus Inc., not Apple or Google.

TradingPlus Inc. is solely responsible for the Service, its content, maintenance, support, and addressing claims related to the Service.

9. Termination and Suspension

We may suspend or terminate your access at any time, with or without notice, for violations of these Terms or legal, technical, or security reasons.

10. Disclaimers

The Service is provided "as is" without warranties of any kind. We do not guarantee the Service will be error-free, uninterrupted, secure, or compatible with all devices or systems.

11. Limitation of Liability

To the fullest extent permitted by law, TradingPlus Inc. will not be liable for indirect, incidental, consequential, or special damages, or loss of data, profits, or revenue, arising from your use of the Service.

12. Indemnification

You agree to indemnify and hold harmless TradingPlus Inc., its affiliates, officers, directors, and employees from any claims or liabilities arising out of your use of the Service or violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Oregon, USA. You agree to submit to the exclusive jurisdiction of the courts in Oregon.

14. Changes to the Terms

We may update these Terms from time to time. Material changes will be communicated via the app or email. Your continued use after notice constitutes acceptance.
